Huzzay! | Gift and Event Registry Platform

These Terms of Use ("Terms") govern access to and use of www.huzzay.com, any related mobile application, and any other digital interface through which Huzzay makes its services available (collectively, the "Platform"). Please read these Terms carefully before accessing or using the Platform.

By clicking an acceptance button or checkbox, creating an Account, placing or facilitating an order, purchasing a paid Service, uploading content, or otherwise accessing or using the Platform, you confirm that you have read, understood and agreed to these Terms and the Privacy Policy. If you do not agree, do not use the Platform.

This document is an electronic record under the Information Technology Act, 2000 and applicable rules, and is generated by a computer system without requiring a physical or digital signature.

1. ABOUT HUZZAY AND THESE TERMS

Huzzay! is operated by HUZZAY DIGITAL LLP, having its registered office at 414-416, Bezzola Complex, VN Purav Marg, Chembur, Mumbai 400071 ("Huzzay", "we", "us" or "our"). Huzzay provides technology-enabled gift registry, event registry, invitation and event-management features, discovery and listing of third-party merchants and their offerings, and related free or paid digital services.

These Terms apply to visitors, Registry Owners, Guests, Buyers, Merchants and every other person accessing or using the Platform. A person using the Platform on behalf of an entity represents that the person has authority to bind that entity.

The Privacy Policy, and any product page, checkout terms, feature-specific terms, Merchant Agreement, cancellation or refund policy, offer terms or other policy expressly linked on the Platform, form part of these Terms. Feature-specific or transaction-specific terms prevail only for that feature or transaction to the extent of an inconsistency. A Merchant Agreement prevails over these Terms in relation to a Merchant's commercial onboarding, settlement and other merchant-specific obligations.

Nothing in these Terms excludes, restricts or modifies any right or liability that cannot lawfully be excluded, restricted or modified. References to Huzzay's discretion mean reasonable discretion exercised consistently with applicable law.

2. DEFINITIONS

"Account" means an account created on the Platform by a User.

"Buyer" means a User who purchases or attempts to purchase a Merchant Offering, including a Guest purchasing for a Registry Owner.

"Guest" means a person who accesses, views, contributes towards or purchases in connection with a registry or event, whether or not that person creates an Account.

"Huzzay Parties" means Huzzay and its affiliates and their respective proprietors, partners, directors, officers, employees, personnel, consultants, agents, representatives, service providers, licensors, successors and permitted assigns.

"Merchant" means an independent third-party seller or service provider whose goods, services, vouchers or other offerings are listed, linked or otherwise made discoverable through the Platform.

"Merchant Offering" means any good, service, voucher, benefit or other offering supplied or proposed to be supplied by a Merchant.

"Merchant Transaction" means a sale, purchase, booking, contribution applied towards a purchase, or other transaction directly between a Merchant and a Buyer or other User in respect of a Merchant Offering.

"Payment Provider" means any bank, payment aggregator, payment gateway, card network, UPI service provider or payment-system participant integrated with or used in connection with the Platform.

"Platform Fee" means any fee charged by Huzzay for a paid Service, and excludes the price charged by a Merchant for a Merchant Offering unless expressly stated otherwise at checkout.

"Registry Owner" means a User who creates, manages or shares a gift registry, event registry, event page, guest list or invitation through the Platform.

"Services" means the features and services made available by Huzzay through the Platform from time to time, including registry, invitation, event-management, merchant-discovery, listing, communication, checkout-facilitation and paid digital features. Services do not include Merchant Offerings.

"User", "you" or "your" means any person who accesses or uses the Platform, including a visitor, Registry Owner, Guest, Buyer or Merchant.

"User Content" means any text, registry information, invitation, event details, guest information, message, image, audio, video, review, rating, feedback, listing or other information uploaded, submitted, transmitted, generated or made available by a User through the Platform.

3. ELIGIBILITY, REGISTRATION AND ACCOUNT SECURITY

3.1 You may create an Account or enter into a transaction only if you are at least eighteen years old and legally competent to contract. A minor may view or use age-appropriate parts of the Platform only under the active supervision of a parent or legal guardian, but may not independently create an Account, list goods or services, or enter into a transaction.

3.2 You shall provide true, current, complete and accurate information, keep it updated, and promptly provide any verification, know-your-customer, tax or other documentation reasonably requested by Huzzay or a Payment Provider. Huzzay may decline, restrict or cancel registration or require additional verification where permitted by law.

3.3 You are responsible for safeguarding login credentials, one-time passwords and devices used to access your Account, and for all activity conducted through your Account unless caused solely by Huzzay's breach of a non-excludable legal duty. You shall immediately notify Huzzay at yay@huzzay.com of suspected unauthorised access, credential compromise or security breach.

3.4 You shall not create an Account for another person, impersonate another person, or access another Account unless duly authorised. Huzzay may treat instructions received through an authenticated Account as authorised until it receives and has a reasonable opportunity to act on notice of compromise.

3.5 Registration does not create any membership, shareholding, employment, agency, franchise, partnership or joint venture with Huzzay. Huzzay does not guarantee the identity, authority, creditworthiness or conduct of any User.

4. SERVICES AND FREE AND PAID FEATURES

4.1 Huzzay may make some Services available without charge and may charge Platform Fees for other Services. The scope, duration, limits, price, taxes and payment frequency of a paid Service will be displayed before purchase or set out in applicable feature-specific terms.

4.2 Huzzay will not convert a free feature into a paid feature for a User, or impose a new recurring charge, without displaying the applicable price and obtaining the User's explicit affirmative consent. Unless checkout expressly identifies a Service as recurring, the Platform Fee is a one-time charge. If a recurring Service is offered, the billing cycle, renewal basis and cancellation method will be displayed before subscription.

4.3 Platform Fees are payable to Huzzay for the applicable Service and are separate from amounts payable to a Merchant. Platform Fees are refundable only as stated at checkout, in a feature-specific refund policy, or as required by applicable law. Commencement, activation, personalisation or substantial use of a paid Service may affect refund eligibility where lawfully disclosed before purchase.

4.4 Huzzay may offer trials, coupons, promotional credits, memberships or discounts on separate terms. Unless expressly stated, these are personal, non-transferable, non-redeemable for cash, subject to expiry and availability, and may not be combined.

4.5 Huzzay may add, modify, suspend or discontinue a free Service. For a prepaid paid Service, Huzzay will use reasonable efforts to provide the purchased scope or, if Huzzay permanently discontinues it without cause attributable to the User, provide an appropriate pro-rata refund or alternative remedy as required by law.

5. REGISTRIES, EVENTS AND INVITATIONS

5.1 A Registry Owner is solely responsible for the accuracy, legality and appropriateness of the registry, event, invitation, guest list, preferences, addresses, messages and other information supplied by the Registry Owner. Huzzay provides the digital tools but does not organise, host, insure or guarantee the event unless a specific written agreement expressly states otherwise.

5.2 The Registry Owner shall select and manage available privacy and sharing settings. A registry, event page or invitation may be accessible to anyone possessing its link, password, code or other access credential. The Registry Owner is responsible for sharing access credentials only with intended recipients and for promptly changing or deactivating them where available if unauthorised access is suspected.

5.3 Adding a Merchant Offering to a registry does not reserve inventory, lock a price, create an order or guarantee availability, delivery by an event date, or continued listing by the same Merchant. Product status and purchase markers may be delayed, incomplete or affected by purchases made outside the Platform; duplicate purchases may therefore occur.

5.4 Registry Owners and Guests shall independently verify Merchant identity, specifications, price, delivery timelines, return conditions and suitability before a Merchant Transaction. Huzzay is not responsible for changes to an event, cancellation of an event, guest attendance, gifts not received, duplicate gifts, or personal messages exchanged between Users.

5.5 If a Registry Owner uploads or supplies another person's contact details or other personal data for invitations, RSVP, delivery or event management, the Registry Owner represents that the data was lawfully obtained, that the person has received any required notice, and that the Registry Owner has authority or another lawful basis to instruct Huzzay to process and communicate using that data for the specified purpose.

5.6 The Registry Owner shall not use invitation or communication features for spam, unsolicited commercial communication, harassment or any unlawful purpose. Delivery of email, SMS, messaging-app or other electronic invitations is not guaranteed and may depend on third-party networks, recipient settings and contact accuracy.

5.7 Unless expressly enabled under separate feature-specific terms, Huzzay does not issue or operate a wallet, gift card, prepaid payment instrument, stored-value account, cash-out facility or pooled cash registry. Any future feature permitting monetary contributions, splitting or pooling will be subject to additional terms, limits, verification and Payment Provider requirements before use.

6. MERCHANT MARKETPLACE AND HUZZAY'S ROLE

6.1 The Platform may enable Users to discover, compare, select or transact with independent Merchants. In relation to Merchant Transactions, Huzzay operates as a marketplace technology facilitator and not as the seller, supplier, manufacturer, importer, owner, warehouse operator, delivery provider or merchant of record for a Merchant Offering.

6.2 The contract for a Merchant Offering is directly between the Merchant and the Buyer. Huzzay is not a party to that contract and does not acquire title to, possess or independently inspect Merchant Offerings, except where a specific listing expressly identifies Huzzay as the seller. If Huzzay itself is expressly identified as seller for any offering, the separate seller terms displayed for that offering will apply and the marketplace exclusions in these Terms will not apply to the extent inconsistent.

6.3 A Merchant is an independent contractor and has no authority to bind, represent, make commitments for, or incur liability on behalf of any Huzzay Party. Listing, verification, onboarding, ranking, promotion or acceptance of a Merchant does not constitute endorsement, certification or a guarantee by Huzzay of the Merchant or Merchant Offering.

6.4 Huzzay may perform proportionate onboarding, verification, moderation, fraud checks and compliance reviews, but does not warrant that any verification is complete, current or incapable of circumvention. Users must exercise independent judgment.

Nothing in this section limits Huzzay's obligations that apply mandatorily to it as an e-commerce entity, marketplace e-commerce entity, intermediary or service provider under applicable law.

7. MERCHANT TRANSACTIONS AND ALLOCATION OF RESPONSIBILITY

7.1 A Merchant Transaction is formed when the Merchant accepts the Buyer's order in accordance with the Merchant's disclosed terms. An automated acknowledgement or payment authorisation does not by itself constitute Merchant acceptance unless expressly stated.

7.2 The Merchant is solely responsible for the Merchant Offering and every obligation arising from or connected with it, including description, specifications, merchantability, quality, authenticity, safety, legality, title, stock, price, taxes, invoicing, packaging, delivery, installation, performance, service levels, cancellation, return, replacement, refund, warranty, after-sales service, recall and product or service liability.

7.3 The Buyer is responsible for reviewing the Merchant's identity and terms, providing accurate order and delivery information, ensuring the Merchant Offering is suitable and lawful for the intended recipient and location, and paying all disclosed amounts.

7.4 Huzzay may facilitate communications, customer support, cancellation requests, refunds, reversals, reviews, tracking or dispute information without becoming a party to the Merchant Transaction or assuming the Merchant's obligations. Any voluntary assistance is without admission of liability and may be withdrawn or modified subject to law.

7.5 Huzzay may receive a listing fee, commission, referral fee or other consideration from a Merchant. Such consideration does not increase the price shown to the Buyer unless clearly disclosed, and does not make Huzzay the seller or agent of the Merchant or Buyer.

8. LISTINGS, PRICES, SEARCH AND RANKING

8.1 Listing information is supplied principally by Merchants or other third parties. The Merchant is responsible for ensuring that each listing and advertisement is accurate, complete, current, not misleading, consistent with the actual Merchant Offering, and includes all information required by law.

8.2 Prices, taxes, delivery charges, convenience charges and other amounts may change until an order is accepted. Before a User confirms a transaction, the Platform or Merchant will display the total amount payable and any material additional charges then known. The User's order must be submitted through an explicit affirmative action, Huzzay will not rely on a pre-ticked box as consent to purchase.

8.3 Huzzay or a Merchant may correct an obvious typographical, technical, catalogue, stock or pricing error before acceptance of an order. If payment has been captured for an order that cannot lawfully be fulfilled due to such error, the amount will be refunded in accordance with applicable law and Payment Provider timelines.

8.4 Search results and recommendations may be based on factors such as relevance to the registry or query, availability, delivery location, popularity, ratings, price, freshness, User preferences, Merchant performance and commercial arrangements. Material ranking parameters, and whether a placement is sponsored or advertised, will be disclosed on the Platform where required by law. Huzzay may modify ranking systems to improve relevance, safety, compliance or Platform integrity.

8.5 Comparisons, suggestions and editorial content are for convenience and are not professional advice or a warranty that a Merchant Offering is the cheapest, best or suitable for a particular purpose.

9. PAYMENTS AND PAYMENT PROVIDERS

9.1 Payments may relate either to: (i) Platform Fees payable to Huzzay for paid Services; or (ii) amounts payable to a Merchant for a Merchant Transaction. The checkout page will identify the nature of the charge and, where applicable, the Merchant.

9.2 Electronic payments are processed by a Payment Provider under its own terms, privacy notice, security standards, eligibility checks and payment-network rules. By selecting an electronic payment method, you authorise the Payment Provider and participating financial institutions to process, authenticate, route, settle, reverse or refund the payment and to conduct fraud, compliance and risk checks.

9.3 For Merchant Transactions, the Payment Provider may collect and settle the amount to the Merchant directly or through a regulated routing, split-payment or settlement arrangement. Huzzay's technical facilitation, receipt of transaction status, or deduction of a contractually agreed commission does not make Huzzay the seller or beneficial owner of amounts due to the Merchant.

9.4 Huzzay does not offer banking, credit, escrow or payment-aggregation services in its own right and does not knowingly store complete card numbers, CVV, UPI PINs, banking passwords or other payment credentials. Payment credentials should be entered only in the secure interface supplied or approved by the Payment Provider. Huzzay may retain limited transaction identifiers and status information for reconciliation, support, fraud prevention and legal compliance.

9.5 Payment authorisation, capture, settlement or refund may fail or be delayed due to the Payment Provider, bank, card network, UPI system, technical outage, risk review, incorrect details or other causes outside Huzzay's reasonable control. A debit alert does not necessarily mean the Merchant received an order. Before retrying, the User should check the order status and bank statement or contact support to avoid duplicate payment.

9.6 Refunds for electronic payments will ordinarily be initiated to the original payment method, unless the payer lawfully instructs and the Payment Provider permits credit to another method belonging to the same payer. Displayed refund timelines are estimates subject to the Payment Provider and financial institution.

9.7 A User raising a chargeback or payment dispute shall provide truthful and complete information and shall not seek duplicate recovery after receiving a refund, replacement or Merchant Offering. Huzzay and the Merchant may provide transaction, delivery and communication records to the Payment Provider, financial institution or competent authority for resolution.

9.8 Huzzay may decline, pause or cancel a payment or transaction, or request additional verification, where reasonably necessary for fraud prevention, sanctions, anti-money-laundering, payment-network compliance, legal process or protection of Users and the Platform.

10. ORDERS, DELIVERY, CANCELLATION, RETURNS AND REFUNDS

10.1 The Merchant's cancellation, return, refund, replacement, warranty and delivery terms displayed before purchase apply to a Merchant Transaction, subject always to applicable consumer law. Users shall review those terms before placing an order.

10.2 The Merchant is responsible for accepting or rejecting the order, issuing a compliant invoice, fulfilling within the promised period, appointing and managing logistics providers, tracking, proof of delivery and addressing delay, loss, damage, deficiency, defect, misdescription, non-conformity and warranty claims.

10.3 A Merchant shall not refuse a return, refund or other remedy where required by law, including where a Merchant Offering is defective, deficient, spurious, misdescribed, delivered late beyond the stated period without the Buyer's acceptance, or otherwise non-compliant. If a Merchant unilaterally cancels an order, the Buyer will not be charged a cancellation fee unless permitted by law.

10.4 The Buyer shall inspect deliveries promptly and notify the Merchant through the displayed channel within the applicable period, preserving packaging, invoices, photographs and other reasonable evidence. Failure to follow a lawful claim process may affect available remedies.

10.5 Huzzay may transmit a request to the Merchant or Payment Provider and display its status, but the Merchant remains responsible for deciding and funding a Merchant Transaction refund, except to the extent Huzzay has a mandatory obligation under law. Huzzay may take corrective marketplace action against a Merchant without thereby assuming the Merchant's underlying liability.

11. MERCHANT OBLIGATIONS

11.1 Each Merchant shall comply with these Terms, the Merchant Agreement, the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, tax laws, product-specific laws, advertising standards, data-protection laws and all other applicable requirements.

11.2 Without limiting the preceding clause, a Merchant shall:

  • (i) maintain valid registrations, licences, permissions, bank accounts, tax registrations and insurance appropriate to its business and Merchant Offerings;
  • (ii) complete and keep current all onboarding, identity, address, beneficial ownership, bank, tax and other verification information requested by Huzzay or the Payment Provider;
  • (iii) provide its legal name, geographic address, customer-care and grievance details, tax identifiers and other disclosures required to be shown to Users;
  • (iv) ensure that listings, prices, specifications, images, country-of-origin information, warnings, expiry information, terms, advertisements and reviews supplied or procured by it are truthful, substantiated and not misleading;
  • (v) hold good and marketable title or full authority to supply each Merchant Offering, and ensure it is genuine, safe, lawful, fit for disclosed purposes and free from undisclosed liens;
  • (vi) honour accepted orders and all disclosed delivery, cancellation, return, refund, replacement, guarantee, warranty and after-sales obligations;
  • (vii) issue legally compliant invoices and pay all taxes, duties, levies, delivery costs, refunds, chargebacks and other amounts for which it is responsible;
  • (viii) protect User data, use it only to fulfil the transaction or another disclosed lawful purpose, and not use registry or guest information for unsolicited marketing;
  • (ix) promptly address consumer complaints and cooperate with Huzzay, Payment Providers and authorities, including by supplying order, delivery, refund and chargeback evidence;
  • (x) not manipulate prices, ratings, reviews, search, stock, orders or payments; place sham orders; impersonate a consumer; or engage in unfair trade practices; and
  • (xi) immediately notify Huzzay of any recall, safety issue, regulatory action, counterfeit allegation, data incident, licence lapse or other event materially affecting a Merchant Offering or Users.

11.3 Huzzay may suspend a listing or Merchant, withhold or reverse marketplace privileges, notify a Payment Provider, preserve evidence or take other proportionate action if it reasonably suspects breach, fraud, illegality, safety risk, consumer harm or non-cooperation. Settlement, reserves, deductions and chargeback obligations are additionally governed by the Merchant Agreement and Payment Provider terms.

12. USER CONTENT, REVIEWS AND LICENCE

12.1 You retain ownership of User Content you lawfully own. You grant Huzzay a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, adapt for technical display, publish, communicate, display and otherwise use User Content only to operate, secure, improve, promote or provide the Platform and Services, fulfil transactions, and comply with law. This licence continues for so long as reasonably necessary for those purposes, subject to the Privacy Policy and applicable law.

12.2 You represent that you own or have all rights, permissions and lawful bases required for User Content and its use under these Terms; that it is accurate where it states facts; and that it does not violate law or any person's intellectual property, privacy, publicity, confidentiality, consumer or other rights.

12.3 Reviews and ratings must reflect a genuine experience and must not be purchased, fabricated, manipulated, defamatory or posted in exchange for an undisclosed benefit. Huzzay may label verified transactions, moderate reviews and remove or restrict content in accordance with law, but does not endorse User Content or guarantee its accuracy.

12.4 If User Content includes synthetically generated or materially altered audio, visual or audio-visual information that appears real, you shall make all declarations and apply or preserve all labels, metadata and provenance information required by law. You shall not upload unlawful deepfakes, false electronic records, impersonation content or non-consensual intimate imagery, or remove a required synthetic-content label or identifier.

12.5 Feedback or suggestions voluntarily provided about the Platform may be used by Huzzay without restriction or payment, provided Huzzay does not publicly identify the individual source without permission.

13. PRIVACY AND DATA PROTECTION

13.1 Huzzay will process personal data in accordance with its Privacy Policy and applicable data-protection law, including the Information Technology Act, 2000 and rules thereunder and, as and when applicable, the Digital Personal Data Protection Act, 2023 and rules thereunder. The Privacy Policy explains the categories of data, purposes, disclosures, retention, security practices, rights and contact channels in greater detail and is incorporated into these Terms.

13.2 Depending on the processing activity, Huzzay, a Merchant and a Payment Provider may each act as an independent data fiduciary, controller or regulated entity under applicable law. A Merchant is independently responsible for personal data it receives or determines to use for order fulfilment, delivery, invoicing, warranty, customer service or its own lawful purposes. The Payment Provider independently processes payment and verification data under its terms and legal obligations.

13.3 Huzzay may share only reasonably necessary information with a Merchant, Payment Provider, logistics provider, communications provider, hosting or technology provider, professional adviser, authority or other recipient described in the Privacy Policy for providing the Services, completing a User-requested transaction, preventing fraud, securing the Platform or complying with law.

13.4 You shall not provide another person's personal data unless you have authority or a lawful basis to do so and have supplied any legally required notice. You shall not upload unnecessary sensitive information, identity documents, payment credentials or information concerning children. A Registry Owner shall take particular care with guest lists, delivery addresses, photographs and information about minors.

13.5 Operational communications necessary for Accounts, security, registries, invitations, orders, payments, refunds and legal notices may be sent without marketing consent where permitted by law. Promotional communications will be sent only on the basis permitted by law and may be opted out of through the method provided, without affecting essential operational messages.

13.6 Huzzay uses reasonable security practices appropriate to the nature of information and Services, but no transmission or storage system is completely secure. Users shall use secure devices and networks and follow security instructions. Security incidents will be addressed and notified where and within the period required by applicable law.

13.7 Account closure, consent withdrawal or deletion requests do not require deletion of information that Huzzay, a Merchant or a Payment Provider must retain for transactions, fraud prevention, legal claims, tax, accounting, regulatory, security or other lawful purposes. Applicable procedures and limitations are described in the Privacy Policy.

14. COMMUNICATIONS AND ELECTRONIC CONTRACTING

14.1 You consent to receive agreements, disclosures, invoices, order and payment updates, security alerts, service notices and other operational communications electronically at the contact details associated with your Account or transaction, or through the Platform. Electronic communications satisfy any legal requirement of writing to the extent permitted by law.

14.2 You shall keep contact information current. A communication is treated as delivered when sent to the last provided electronic address, posted to the Account or Platform, or otherwise delivered through the selected channel, subject to any mandatory legal rule.

14.3 Marketing consent is separate from acceptance of these Terms. You may withdraw marketing consent or use an unsubscribe facility at any time, although Huzzay may continue to send operational or legally required communications.

14.4 Huzzay may retain electronic records of acceptance, consent, orders, notices and communications and may use them as evidence subject to applicable law.

15. ACCEPTABLE USE AND PROHIBITED CONDUCT

15.1 You shall use the Platform only for lawful, intended purposes and in compliance with these Terms. You shall not host, display, upload, modify, publish, transmit, store, update, share or otherwise make available information, or use the Platform, in a manner that:

  • (i) belongs to another person and is used without right or authority;
  • (ii) is obscene, pornographic, paedophilic, sexually explicit, invasive of bodily or other privacy, harmful to a child, harassing on the basis of gender, racially or ethnically objectionable, or promotes enmity or violence;
  • (iii) infringes intellectual property, confidentiality, privacy, publicity, consumer or proprietary rights;
  • (iv) deceives or misleads as to origin, impersonates another person, contains knowingly false or misleading information, manipulates reviews, or facilitates fraud, money laundering or unlawful activity;
  • (v) threatens India's sovereignty, integrity, defence, security, friendly relations, public order, decency or morality, incites an offence, obstructs investigation, or otherwise violates law;
  • (vi) contains malware, malicious code or a mechanism intended to interrupt, damage, surveil or gain unauthorised access to a computer resource;
  • (vii) exposes payment credentials, authentication information or another person's sensitive information without lawful authority; or
  • (viii) is an unlawful synthetically generated or materially altered recording, image or video, or removes a legally required label, metadata or provenance marker.

15.2 You shall not scrape, crawl, data-mine or use bots or automated means to access the Platform without written permission; bypass security or access controls; reverse engineer, decompile or create derivative works from Platform software except where law expressly permits; impose unreasonable load; interfere with another User; collect User data for a competing service; frame or mirror the Platform; resell access; or use Platform information for spam or unauthorised solicitation.

15.3 Huzzay may use reasonable manual or automated measures to detect, restrict, remove or disable non-compliant content or activity, preserve evidence, warn Users, suspend Accounts, notify affected persons or authorities, and take other action required or permitted by law. A User responsible for unlawful activity may face civil, regulatory or criminal consequences.

15.4 Huzzay will inform Users of these Terms and consequences of non-compliance with the frequency and in the manner required by applicable law. Continued use after such notification confirms continued acceptance, subject to the section on changes to these Terms.

16. HUZZAY INTELLECTUAL PROPERTY AND LIMITED LICENCE

16.1 The Platform, Services, software, databases, selection and arrangement, interface, designs, text, graphics, logos, trademarks, domain names and Huzzay-created content, together with all associated intellectual property rights ("Huzzay Content"), are owned by or licensed to Huzzay. Merchant and User trademarks and content remain the property of their respective owners.

16.2 Subject to these Terms, Huzzay grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Platform for its intended personal or authorised business purpose. No ownership or other right is transferred.

16.3 You shall not copy, reproduce, modify, distribute, publish, commercially exploit or create derivative works from Huzzay Content without prior written permission, except for temporary technical copies inherent in ordinary use or as expressly permitted by law.

16.4 If you believe content on the Platform infringes your intellectual property, send a notice to the Grievance Officer identifying the protected work, the allegedly infringing content and its location, your contact details, evidence of rights or authority, and a good-faith statement supporting the complaint. Huzzay may request further information and act in accordance with applicable law.

17. THIRD-PARTY SERVICES, LINKS AND ADVERTISING

17.1 The Platform may contain third-party links, maps, plugins, logistics, messaging, analytics, advertisements or other services. Their availability does not constitute endorsement. Use of a third-party service may be governed by separate terms and privacy practices, which the User should review.

17.2 Huzzay is not responsible for the availability, security, content, accuracy or conduct of a third-party service outside Huzzay's control. A User accesses it at the User's own discretion, subject to non-excludable rights.

17.3 Sponsored listings, affiliate links or advertisements may generate consideration for Huzzay. Huzzay will identify material sponsored or advertising relationships where required by law. Advertisers and Merchants remain responsible for their claims and offerings.

18. AVAILABILITY, MAINTENANCE AND CHANGES TO THE PLATFORM

18.1 Huzzay aims to keep the Platform reasonably available but does not guarantee uninterrupted, timely, secure or error-free access. Availability may be affected by maintenance, releases, traffic, third-party systems, network failure, cyber incidents, legal restrictions or force majeure.

18.2 Huzzay may update, correct, improve, restrict or remove Platform functions, content or compatibility. Users are responsible for maintaining supported devices, software, connectivity and backups of information they wish to retain.

18.3 Huzzay is not liable for a delay or failure caused by events beyond its reasonable control, including acts of government, natural disaster, fire, flood, epidemic, war, civil disturbance, labour disruption, communications or cloud outage, payment-system failure or cyberattack, provided Huzzay takes reasonable steps required by law.

19. SUSPENSION AND TERMINATION

19.1 You may stop using the Platform and request Account closure through the available method. Obligations and completed transactions accrued before closure continue.

19.2 Huzzay may restrict, suspend or terminate access, remove content or listings, or cancel an unaccepted order where reasonably necessary because of breach, suspected fraud, security risk, legal or regulatory direction, harmful conduct, non-payment of Platform Fees, repeated consumer complaints, Merchant non-cooperation, or discontinuation of the relevant Service.

19.3 Where appropriate and legally permitted, Huzzay may provide notice and an opportunity to cure or appeal. Immediate action may be taken for urgent safety, security, fraud, payment, confidentiality, intellectual-property, data-protection or unlawful-content concerns.

19.4 On termination, the access licence ends and Huzzay may delete or de-identify information in accordance with the Privacy Policy and law. Huzzay may retain transaction, acceptance, security, complaint, content-removal and other records for legally permitted purposes.

19.5 Terms which by their nature should survive termination, including provisions on accrued payment, intellectual property, data retention, disclaimers, limitation, release, indemnity, dispute resolution and general interpretation, will survive.

20. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, SERVICES AND HUZZAY CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HUZZAY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED.

Huzzay does not warrant that the Platform will meet every requirement, remain uninterrupted or error-free, or that all content, listings, status information or third-party data will be accurate, complete, current or secure. Huzzay does not warrant a particular event outcome, gift, response, Merchant performance, stock level, delivery date or transaction result.

MERCHANT OFFERINGS ARE SUPPLIED BY INDEPENDENT MERCHANTS. EXCEPT WHERE HUZZAY IS EXPRESSLY IDENTIFIED AS THE SELLER OR LAW MANDATORILY PROVIDES OTHERWISE, HUZZAY MAKES NO WARRANTY AND ASSUMES NO RESPONSIBILITY FOR THEIR QUALITY, SAFETY, AUTHENTICITY, LEGALITY, TITLE, DESCRIPTION, PRICE, DELIVERY, INSTALLATION, PERFORMANCE, WARRANTY, RETURN, REFUND, AFTER-SALES SERVICE OR FITNESS FOR PURPOSE.

No information or assistance from a Huzzay Party creates a warranty or obligation not expressly stated in these Terms or required by law.

21. LIMITATION OF LIABILITY

21.1 To the fullest extent permitted by law, no Huzzay Party will be liable for indirect, incidental, special, punitive, exemplary or consequential loss; loss of profit, revenue, goodwill, opportunity, business, anticipated savings or data; personal disappointment or event disruption; or loss arising from a Merchant's or other User's act or omission, even if advised of the possibility.

21.2 Without limiting the preceding clause, Huzzay is not liable for a Merchant's breach; a defective, unsafe, counterfeit, misdescribed, delayed or undelivered Merchant Offering; a Merchant's refusal or delay in cancellation, replacement, warranty or refund; a logistics provider; a User's content or conduct; an unauthorised Account caused by the User's failure to secure credentials; a Payment Provider, bank or network failure; or a third-party service outside Huzzay's reasonable control.

21.3 For claims relating to a paid Service supplied by Huzzay, the aggregate liability of all Huzzay Parties arising from the same or related events will not exceed the greater of: (a) the Platform Fees actually paid to Huzzay for the affected paid Service during the three months immediately preceding the event giving rise to the claim; and (b) INR 1,000.

21.4 For claims relating to a free Service, Merchant Transaction or any matter for which no Platform Fee was paid to Huzzay, the aggregate liability of all Huzzay Parties arising from the same or related events will not exceed INR 1,000.

21.5 The exclusions and caps apply regardless of the form of action and collectively, not separately to each Huzzay Party. They do not exclude liability to the extent it cannot be excluded under applicable law, including liability finally determined to arise from Huzzay's fraud or wilful misconduct. A User's mandatory consumer remedies remain unaffected.

22. DISPUTES BETWEEN USERS AND MERCHANTS; RELEASE

22.1 A complaint concerning a Merchant Offering or Merchant Transaction shall first be raised with the Merchant using the details and process displayed on the Platform or invoice. Huzzay may provide a channel to transmit or track the complaint but is not the adjudicator, mediator or guarantor of settlement.

22.2 To the fullest extent permitted by law, each User and Merchant releases the Huzzay Parties from claims, demands and damages arising solely from the Merchant Transaction, Merchant Offering, event, gift or interaction between Users, except to the extent directly caused by Huzzay's breach of a mandatory legal obligation.

22.3 The User and Merchant shall not implead or join a Huzzay Party to an inter se dispute solely because the Platform was used to discover, communicate, place an order or process payment. If a Huzzay Party is joined in such circumstances, the party responsible for the claim shall, to the extent permitted by law, promptly seek deletion of the Huzzay Party and reimburse the reasonable costs caused by the improper joinder.

22.4 Huzzay may voluntarily assist, preserve or disclose transaction records, respond to legal process, participate in a proceeding to protect its interests, or take marketplace action without becoming liable for or assuming the Merchant's or User's obligations.

Nothing in this section prevents a consumer or authority from pursuing a non-waivable statutory remedy against Huzzay for Huzzay's own conduct or mandatory duties.

23. INDEMNITY

23.1 To the fullest extent permitted by law, each User shall defend, indemnify and hold harmless the Huzzay Parties from third-party claims, regulatory proceedings, losses, liabilities, penalties, damages and reasonable professional costs arising from the User's: breach of these Terms or law; fraud, negligence or wilful misconduct; misuse of the Platform; User Content; violation of another person's rights; unlawful provision or use of personal data; or unauthorised transaction or instruction attributable to the User.

23.2 In addition, each Merchant shall defend, indemnify and hold harmless the Huzzay Parties from all claims, consumer proceedings, product-liability claims, recalls, chargebacks, refunds, penalties, taxes, losses and reasonable professional costs arising from or relating to:

  • (i) the Merchant, Merchant Offering, listing, advertisement or Merchant Transaction;
  • (ii) defect, deficiency, misdescription, counterfeit, safety issue, injury, death, property damage, infringement, non-delivery, delay, cancellation, warranty, return, replacement or refund;
  • (iii) the Merchant's tax, invoicing, licence, registration, product, consumer, advertising, payment, data-protection or other legal non-compliance;
  • (iv) User data received or used by the Merchant;
  • (v) any employee, contractor, logistics provider, manufacturer, supplier or agent engaged by the Merchant; or
  • (vi) breach of these Terms, the Merchant Agreement or Payment Provider terms.

The indemnified Huzzay Party shall give reasonably prompt notice where practicable. Huzzay may control the defence and settlement through counsel of its choice; the indemnifying party shall cooperate and shall not admit liability or settle in a manner affecting a Huzzay Party without Huzzay's prior written consent. Failure to give prompt notice reduces the indemnity only to the extent of material prejudice.

No person is required to indemnify a Huzzay Party to the extent a final decision of a competent court attributes the relevant loss to that Huzzay Party's fraud or wilful misconduct.

24. GRIEVANCE REDRESSAL, CONTENT COMPLAINTS AND LEGAL REQUESTS

24.1 Questions, customer-support requests and grievances may be submitted through the Platform or to yay@huzzay.com. Complaints should include the Account or order identifier, relevant Merchant, description, supporting documents, requested resolution and current contact details. Huzzay may issue a ticket or reference number.

24.2 Huzzay will acknowledge and address complaints within the timelines applicable to the nature of the complaint under law. Certain unlawful-content, impersonation, intimate-image, court-order, government-notice, payment or consumer complaints may require shorter or different timelines. Huzzay may request information necessary to verify the complainant, locate the content or transaction and prevent misuse.

24.3 An appeal concerning an intermediary grievance may be filed with the Grievance Appellate Committee through the mechanism notified by the Government where applicable. Consumer rights to approach the National Consumer Helpline, a competent Consumer Commission or another authority remain unaffected.

24.4 Legal notices to Huzzay must also be sent by recognised delivery service to its principal office stated above, marked for the attention of the Grievance Officer/Legal Team. Huzzay may remove or disable content, preserve information and associated records, disclose information, or assist authorities where required or permitted by law.

25. CHANGES TO THESE TERMS

25.1 Huzzay may revise these Terms to reflect changes in Services, business practices, technology or law. The revised Terms and effective date will be posted on the Platform, and material changes will be notified in the manner required by law.

25.2 Changes will not retrospectively alter an accepted order or paid Service unless required by law or expressly agreed. If you do not agree to revised Terms, you must stop using the affected Services and may close your Account. Continued use after the effective date constitutes acceptance to the extent permitted by law.

26. GOVERNING LAW AND DISPUTE RESOLUTION

26.1 These Terms are governed by the laws of India. Subject to mandatory consumer-protection and other non-excludable jurisdictional rights, courts at Mumbai, Maharashtra will have exclusive jurisdiction over disputes between Huzzay and a User arising from these Terms or the Services.

26.2 Before commencing proceedings against Huzzay, a User should provide a written description of the dispute and allow fifteen days for good-faith resolution, unless urgent interim relief or a statutory limitation period reasonably requires earlier action.

26.3 A dispute between a Buyer and Merchant is governed by their contract and applicable law. Huzzay is not required to arbitrate, mediate or participate in that dispute. Merchant-specific disputes between Huzzay and a Merchant are governed by the Merchant Agreement.

27. GENERAL TERMS

27.1 Entire agreement: These Terms, the Privacy Policy and applicable additional terms constitute the agreement between Huzzay and the User concerning the Platform and supersede prior communications on that subject. They do not replace the direct contract between a Buyer and Merchant.

27.2 Severability and interpretation: If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder continues. Headings aid navigation only. "Including" means "including without limitation". The singular includes the plural and references to law include amendments and replacements.

27.3 No waiver: A failure or delay in exercising a right is not a waiver. A waiver must be in writing and applies only to the specified instance.

27.4 Assignment: A User may not assign or transfer rights or obligations without Huzzay's prior written consent. Huzzay may assign these Terms in connection with a reorganisation, financing, merger, business transfer or sale of the Platform, subject to applicable law and continued protection of Users' rights.

27.5 No third-party beneficiary: Except for Huzzay Parties expressly protected by the disclaimers, releases, limitations and indemnities, these Terms do not create third-party beneficiary rights.

27.6 Relationship: Nothing creates employment, partnership, franchise, fiduciary, joint venture or agency between Huzzay and a User or Merchant. Neither party may bind the other except where expressly authorised in writing.

27.7 Language: These Terms may be made available in English and other languages. If permitted by law and an inconsistency arises, the English version prevails. Huzzay will make the Terms available in languages and manner required by applicable law.
